Terms of Service

These Terms of Service ("Terms") form a binding contract between you and GradeBuilder SL, the Spanish company that operates moinaki (the "Service"). By creating an account, accessing courses, or using the AI mentor ("Lem"), you accept these Terms.

Read them in full before agreeing. If you do not agree, do not register or use the Service.

These Terms must be read together with our Privacy Policy at /legal/privacy and our Cookie notice at /legal/cookies.

1. Parties and acceptance

Provider: GradeBuilder SL, a Spanish private limited company (sociedad limitada), registered office at C. Coronel Ivorra Ruiz 7, 1, 30720 San Javier, Murcia, Spain. Spanish tax identifier and Commercial Registry entry available on request.

You: an individual aged 18 or older with full legal capacity, accessing moinaki for personal, non-commercial educational purposes.

Acceptance is given by ticking the "I accept the Terms" box during registration, or by continuing to use the Service after a notified amendment to these Terms.

2. Eligibility and account

You must be 18 or older. The Service is not designed for, and not directed at, children under 16 in the European Economic Area (EEA), or under the local minimum age (typically 13) elsewhere.

You must register with a valid email address and a password meeting our minimum strength requirements (8+ characters, at least one lowercase letter, one uppercase letter, one digit). You may also register through Google OAuth.

One natural person, one account. Sharing credentials, transferring an account, or creating multiple accounts to circumvent trial or promo limits is a breach of these Terms and may lead to suspension.

You are responsible for maintaining the confidentiality of your password and for all activity carried out under your account. Notify us immediately at security@moinaki.life if you suspect unauthorised access.

3. Description of the Service

The Service consists of: (a) a catalogue of micro-lessons and AI-generated structured courses across multiple categories; (b) an AI mentor ("Lem") that adapts to your stated goals, mood, and energy and that retains long-term memory of your interactions; (c) a personal skill map; (d) optional profession-template tracks with completion certificates; (e) a planner and a brain-dump capture; (f) optional subscription billing.

The Service is provided online via the website https://moinaki.life. We do not currently distribute native mobile apps.

We may add, modify, or retire features at any time. For material reductions in functionality during a paid subscription period, you are entitled to a pro-rata refund (Section 6).

4. Subscriptions and free trial

Free trial. Every new account starts with a 14-day free trial of the full Service. No payment method is required up-front. The trial automatically ends 14 days after registration unless you start a paid subscription before then.

Promo codes. We may publish promotional codes (e.g. PROMO, PRODUCTHUNT) that extend the free trial. Each code states its own validity window and per-user limit (typically 1 redemption per user). The redemption is recorded against your account and cannot be transferred. Codes that expire or reach their global cap may be retired without notice.

Paid plans. After the trial, you may subscribe under one of the following plans (denominated in EUR): monthly (€9), quarterly (€24), or yearly (€79). Prices are inclusive of applicable Spanish VAT for B2C consumers; for B2B customers, VAT may be reverse-charged subject to a valid VAT identifier. Prices are displayed at checkout and may be adjusted from time to time as set out in Section 8.

Auto-renewal. Paid subscriptions auto-renew at the end of each billing period until cancelled. We notify you by email a few days before each renewal so you have an opportunity to cancel.

Cancellation. You may cancel at any time from /dashboard/billing. Cancellation takes effect at the end of the then-current paid period; you retain access until that date. We do not pro-rate refunds for cancellations within a paid period unless required by law (Section 6).

5. EU right of withdrawal (Directive 2011/83/EU)

If you are a consumer resident in the European Union, you have a 14-day right of withdrawal from the date the contract was concluded (the date you first started a paid subscription).

Important — early performance waiver. Because the Service is digital content and digital services that begin to be supplied during the withdrawal period, by starting your paid subscription you give your express consent to the performance starting before the 14-day period ends and you acknowledge that you thereby lose the right of withdrawal under Article 16(m) and (l) of Directive 2011/83/EU as transposed into Spanish law (Real Decreto Legislativo 1/2007, Article 103). This applies only to the digital subscription itself; the 14-day free trial is not affected because no payment is taken.

If you do not wish to waive the right of withdrawal, do not start a paid subscription. The free trial alone does not trigger the waiver.

To exercise the right of withdrawal where it still applies, send a clear written statement to support@moinaki.life within 14 days of subscription start. We will refund the amount paid within 14 days of receiving the request.

6. Refunds outside of withdrawal

We do not provide pro-rata refunds for partial use within a paid period, except: (a) where required by mandatory consumer-protection law in your country of residence; (b) where we materially reduce features that you actually used during the period; or (c) at our reasonable discretion in case of clear billing error or service unavailability lasting more than 5 consecutive days.

Refund requests: support@moinaki.life. Decisions are issued within 14 days.

7. Acceptable use

You agree not to: (a) reverse-engineer, decompile, or disassemble the Service; (b) scrape or systematically copy lesson content, mentor replies, or skill maps for purposes other than personal study; (c) use automated tools (bots, scripts) to load or interact with the Service except via the Service's intended interfaces; (d) circumvent rate limits, paywalls, or account isolation; (e) submit malicious code, attempt to compromise security, or interfere with other users' accounts; (f) submit content that is unlawful, defamatory, infringing, harassing, sexually exploitative of minors, or otherwise prohibited by applicable law.

We reserve the right to suspend or terminate accounts that breach this Section, with or without prior notice, and to report serious violations to the competent authorities.

8. Price changes

We may revise the prices of paid plans. For existing subscribers, any price increase will be announced at least 30 days before it takes effect, by email, and will apply only to the renewal that follows the notice. You may cancel before that renewal without penalty if you do not accept the new price.

Promotional prices and discounted bundles run for a stated duration; after they end, the standard list price applies.

9. AI mentor (Lem) — explicit disclaimers

Lem is not a licensed professional. Lem is a software-based educational aid powered by large language models. It is not a doctor, therapist, psychiatrist, lawyer, financial advisor, or any other regulated professional. Lem's output is educational and best-effort; it may contain inaccuracies, omissions, or culturally inappropriate phrasing. Do not rely on Lem for clinical, medical, legal, financial, or safety-critical decisions.

Mental health note. Lem includes a crisis short-circuit that points users toward emergency services when keywords suggesting acute risk are detected, but it is not a substitute for emergency response or for licensed mental-health support. If you are in crisis, contact emergency services or a local helpline.

Memory and personalisation. Lem retains long-term memory of your stated goals, the topics you discussed, the lesson you were on, and the language you used (Privacy Policy Section 2(d)). You may review or delete this memory at /dashboard/mentor/memory at any time. The memory is processed by external AI providers as disclosed in Privacy Policy Section 5 and Section 6.

No automated decisions binding outside the platform. Lem does not produce legal or similarly significant decisions about you outside the educational context (e.g. it does not score you for a hiring decision and we do not share its output with third parties for profiling).

10. Course content and skill confirmations

Course content is generated by AI and reviewed by us before publication; it is intended for general educational purposes and is not a regulated professional credential. Skill confirmations and profession-track certificates issued by the Service are platform-internal indicators of educational completion; they are not state-recognised qualifications.

If you require a regulated qualification (e.g. for licensure or government certification), use a provider whose credentials are accepted in your jurisdiction.

11. Intellectual property

Our content. All Service content (course text, illustrations, code, design system, brand) is owned by GradeBuilder SL or our licensors and is protected by Spanish, EU, and international copyright and trademark law. We grant you a personal, non-exclusive, non-transferable, revocable licence to access the content for personal study during your active subscription or trial. Sharing your account credentials, downloading bulk content for redistribution, or training third-party AI models on our content is not permitted.

Your content. You retain all ownership in the messages you send to Lem, the brain-dump notes you save, the goals and tasks you create, and the recap text you submit during the active-recall step. You grant us a worldwide, royalty-free, non-exclusive licence to host, transmit, and process this content as strictly necessary to deliver the Service to you (including the disclosed third-party processors in Privacy Policy Section 5). We do not use your content to train third-party general-purpose AI models.

Feedback. If you send us suggestions or feedback, we may use them without obligation or compensation to you.

12. Termination

By you. You may delete your account at any time from /dashboard/privacy. Deletion triggers the cascade described in Privacy Policy Section 7(h). Cancelling a subscription does not by itself delete the account; cancellation alone preserves your data so you can return later.

By us. We may suspend or terminate your account, with notice where reasonably possible, if (a) you materially breach these Terms; (b) we are required to do so by law or court order; (c) the account shows signs of fraud, abuse, or security risk.

Effect of termination. Termination ends your right to use the Service. Accrued obligations (e.g. unpaid invoices) survive. Provisions that by their nature should survive — including IP, confidentiality, limitation of liability, governing law — survive termination.

13. Limitation of liability

Nothing in these Terms limits liability for: (a) death or personal injury caused by negligence; (b) fraud; (c) any other liability that cannot be limited by Spanish or EU law.

Subject to the above, our total aggregate liability arising out of or in connection with the Service is limited to the amount you paid us for the Service in the 12 months preceding the event giving rise to the claim, or €100 if you have not paid us at all.

We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost data not caused by our breach of Article 32 GDPR, or loss of goodwill.

The Service is provided on an "as is" and "as available" basis. We do not warrant that the Service will be uninterrupted, error-free, or free of harmful components, or that learning outcomes will match any specific objective.

14. Force majeure

Neither party is liable for failure or delay in performance caused by events outside its reasonable control, including natural disasters, war, civil unrest, pandemics, government action, internet backbone failures, or third-party-provider outages affecting the Service. We will use reasonable efforts to mitigate the impact and notify affected users.

15. Governing law and jurisdiction

These Terms are governed by Spanish law, without regard to conflict-of-law rules, and subject to mandatory consumer-protection law of your country of residence.

Any dispute arising out of or in connection with these Terms will be submitted to the exclusive jurisdiction of the courts of Murcia, Spain — except that EU consumers retain the right to bring proceedings in the courts of their country of residence under applicable consumer law.

EU online dispute resolution: https://ec.europa.eu/consumers/odr/. We do not currently commit to a specific Alternative Dispute Resolution body, but are willing to engage in good-faith mediation.

16. Changes to these Terms

We may update these Terms. The "last updated" date at the top reflects the most recent change.

For material changes — pricing structure, scope of permitted use, limitation of liability, governing law — we notify you at least 30 days in advance by email and via an in-app banner. Continued use after the effective date means you accept the updated Terms. If you do not accept, you may delete your account before the effective date.
